Incorporation of Private Limited Company in 4 simple steps

There are only 4 steps to incorporate a private limited company. You can incorporate your private limited company with these simple four steps.

The four steps to create a private limited company are:

1. Obtain Digital Signature Certificate
2. Check Name availability
3. Draft MOA, AOA
4. File Incorporation forms on MCA website

Digital Signatures

Digital signature is required to sign various forms. Without digital signature you cannot any form for company incorporation. Digital Signature is very easy to get. You can obtain a DSC from any of the vendor online.

Documents and information required to get DSC are:

• Pan Card
• Adhaar Card/address proof
• Mobile No.
• Email id
• Make video of persons who are going to be a director of Company.

Check Name Availability of private limited company

You can check whether name is available or not using RUN form on MCA. You need to pay a nominal fee.

This is very important to check name as you get only 2 chances to submit incorporation certificate and if both times name is not available then your fee will be forfeited and you will have to file fresh application with fee again.

Next you have to draft MOA and AOA. MOA can be prepared by downloading forms directly from MCA website.

Filing Private Limited Company Incorporation forms

Fill INC 32, 33 and 34, Pan and TAN i.e. Spice forms as per instructions kit attached with respective forms.

Documents and information required for INC 32, 33 and 34:

From Directors and Shareholders

• ID proof: DL or passport or voter id card
• Address proof: Bank Statement or electricity bill or mobile bill not older than 2 months.
• Passport size photos

DIR 2 - to be signed by all Directors.i.e. Consent to act as a Director

• PAN Card
• Adhaar Card
• Affidavits i.e. INC 9 by subscribers and Directors
• Two affidavits for one director ( if directors is subscriber also)
• Affidavit is on Rs 20 Stamp paper and to be notarised and should be in the name of the Company.
• Regd. Office Address Proof of the Company i.e. Rent Agreement, Electricity Bill not older than 2 months with NOC
• NOC on INR 10  Stamp paper

Once you have submitted forms INC 32, 33 and 34 company will be incorporated and certificate will be issued in 3 to 4 days. In case there is any mistake in any of the form, you will get one more chance to resubmit the form
